These Terms of Service ("Terms") govern your access to and use of the RentBee professional rental management system, including our website, services, and software (collectively, the "Service"). The Service is operated by RentBee Inc., a Canadian corporation ("RentBee", "we", "us", or "our").

Please read these Terms carefully. By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

• "User", "you", or "your" refers to any individual or entity who accesses or uses the Service.
• "Landlord User" refers to a User (typically a property owner, manager, or agent) who uses the Service to manage properties, leases, and tenants.
• "Tenant User" refers to a User (typically a tenant or prospective tenant) who uses the Service to view lease information, make payments, or communicate with a Landlord User.
• "User Content" means any data, text, documents, images, or other materials that you upload, submit, or store on the Service, such as lease agreements, tenant information, and financial records.

2. Eligibility and Account Registration

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Service. When you create an account, you agree to provide information that is accurate, complete, and current. Providing false information of any kind is a breach of these Terms and may result in the immediate termination of your account.

You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Description of Service

RentBee provides a platform designed to simplify property management for Canadian landlords and tenants. Features may include, but are not limited to, lease management, online rent collection, maintenance requests, document storage, and communication tools.

RentBee is not a party to any rental agreement or other transaction between Landlord Users and Tenant Users. We do not own, manage, or lease any properties listed on the Service.

4. Fees and Payments

Certain features of the Service may be subject to subscription fees ("Fees"). All applicable Fees will be clearly disclosed to you prior to purchase. You agree to pay all Fees incurred in connection with your account.

We use third-party payment processors (e.g., Stripe) to handle financial transactions. Your use of these third-party services is subject to their terms and conditions. We are not responsible for the performance of any third-party payment processor.

5. User Responsibilities and Acceptable Use

You agree to use the Service in compliance with all applicable local, provincial, and federal laws and regulations, including but not limited to residential tenancy legislation and privacy laws.

As a User, you agree not to:

• Upload or transmit any User Content that is unlawful, fraudulent, defamatory, or infringes on any third party's intellectual property rights.
• Use the Service for any purpose other than its intended use in property management.
• Engage in data scraping, harvesting, or any other method of automated data collection from the Service without our express written permission.
• Interfere with, disrupt, or create an undue burden on the Service or the networks or services connected to it.
• Attempt to circumvent any security features of the Service.

Landlord Users are solely responsible for ensuring that their use of the Service, including the content of their lease agreements and their interactions with Tenant Users, complies with all applicable laws.

6. User Content and Data

You retain all ownership rights to your User Content. However, by submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such User Content solely for the purpose of providing and improving the Service.

You are solely responsible for the accuracy, legality, and appropriateness of all User Content you submit. We are not responsible for any loss or corruption of your User Content.

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of RentBee Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of Canada and foreign countries.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

You may terminate your account at any time by following the instructions within the Service or by contacting us. Provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. RENTBEE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

IN NO EVENT SHALL RENTBEE INC., ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT OF FEES PAID BY YOU TO RENTBEE FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) $100 CAD.

11. Indemnification

You agree to defend, indemnify, and hold harmless RentBee Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada to resolve any legal matter arising from these Terms.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
